Anytime technology outpaces regulation, middlemen and intermediaries can profit significantly from the gaps and loopholes created. It has been nearly 20 years since the last major regulatory change in the stock market, making it hard to argue that modernizing is bad for investors. We are generally supportive of the Reg NMS reforms proposed by the U.S. Securities and Exchange Commission, with some modifications, and commend them for issuing these proposals and being open to adjustments and feedback. IEX Exchange believes investors are best served by modernizing market rules and regulations to increase competition, promoting transparency with rules that put exchanges on a level playing field with other venues, rationalizing exchange fees, and reducing transaction costs to investors. We believe the vast majority of market participants—from institutional investors to individuals—think that modernizing our rules is a positive step forward. Those who argue the loudest for no or minimal change are, obviously, best served by the current structure. We look forward to continuing to be actively involved in the process of promoting modernization.
